Terms of Service

These Terms of Service ("Terms") govern your use of Saarthee Fleet Manager("Service"), licensed by Saaniya Software LLC at fleet.nasneeraj.com. By creating a provider account or using the Service, you agree to these Terms.

Saarthee Fleet Manager is software only — it is not Saarthee Ride LLC, a transportation network company, insurer, or rental marketplace operator. Your business name on customer booking pages is your own; you remain solely responsible for your operations, insurance, and regulatory compliance.

1. Nature of the Service

Saarthee Fleet Manager is fleet management software for independent drivers and hosts. We provide tools for quoting (including operator-created quotes), scheduling, customer ride requests, invoicing, finance ledger and reports, document storage, rental calendar sync, and optional in-app assistance. We do not:

• Dispatch drivers or employ transportation providers
• Process passenger payments (you collect via Zelle, Venmo, QR, or other methods you configure)
• Guarantee regulatory compliance, insurance coverage, or platform approval on your behalf

2. Eligibility

Provider accounts require you to be at least 18 years old and legally able to enter binding contracts. You represent that you will use the Service only for lawful fleet operations in jurisdictions where you hold required licenses, permits, and insurance.

3. Provider Accounts

Authentication is provided through Clerk. You are responsible for safeguarding credentials and all activity under your account. Notify us promptly if you suspect unauthorized access.

4. Customer Booking Pages

Each provider account receives an auto-generated public ride-request link (e.g. /book/your-code). Customers submit requests without creating an account. You are solely responsible for:

• Accuracy of your business name, welcome message, and booking link you share
• Reviewing, accepting, quoting, and fulfilling customer requests
• Collecting ride payments from customers via Zelle, Venmo, QR, or other methods you configure
• Privacy notices you provide to your customers as their service provider

5. Payments and billing

Guest ride payments: Saarthee Fleet Manager does not process payments from your passengers or customers. You collect fares directly (Zelle, Venmo, payment QR, cash, etc.). Saaniya Software LLC is not a party to transactions between you and your clients.

Platform subscription: When Stripe billing is enabled, it is used only for your Saarthee Fleet software subscription to Saaniya Software LLC (e.g. Free or Pro plans). Stripe is not used for your customers to pay you for rides.

6. Operator Responsibilities

You are solely responsible for:

• Licenses, permits, and registrations for private chauffeur services and vehicle hosting (including peer rental platforms)
• Commercial livery / auto liability insurance and other required coverage — use of the Service does not provide insurance
• Tax collection and filing (including Wisconsin sales tax where applicable)
• Accuracy of quotes, invoices, receipts, and records shared with clients — you must verify all in-app calculations
• Guest safety, vehicle condition, and conduct of your operations
• Securing your account credentials, devices, and customer data you control

7. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes or in violation of third-party platform terms (Uber, Lyft, Turo, etc.)
• Access other providers' data, reverse engineer the platform, or resell the Service without permission
• Upload malicious content or interfere with Service availability
• Misrepresent the Service or Saaniya Software LLC as a licensed transportation provider

8. Data and Content

You retain ownership of operational data you enter. You grant us a limited license to store, process, and display that data to provide the Service. Customer submissions on your booking page are stored for your use. Permanent deletions you perform in-app remove those records from the Service; Saaniya Software LLC does not keep a recoverable backup of deleted records for you. See our Privacy Policy for details.

9. Third-Party Services

The Service integrates with Clerk (auth), Neon (database), Vercel (hosting), Vercel Blob (files such as QR codes, documents, and receipts), and optionally Google Maps Platform (addresses and distance), optional host-supplied Google Maps keys for live trip maps, Google Drive (when you connect your Google account), Resend (email), Vonage/WhatsApp (messaging when enabled), and an optional AI model provider for Fleet Assistant. Peer rental calendar sync uses iCal feeds you provide; we are not affiliated with Turo or other rental platforms. Your use of third-party services is subject to their respective terms.

Optional Live trip map features (GPS sharing, map tiles) are assistive only. GPS accuracy, background location limits, battery use, and Maps API billing for BYO keys are the operator's responsibility. Saaniya Software LLC is not liable for missed stops, wrong drop-offs, or Google Cloud overages.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, error-free, or secure operation.

Without limiting the foregoing, we do not warrant the accuracy of quotes, tax calculations, financial reports, calendar sync, distance estimates, or any automated ledger entries. You assume all risk of errors and omissions in the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAANIYA SOFTWARE LLC AND ITS AFFILIATES, OFFICERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR CYBER-RELATED LOSSES (INCLUDING UNAUTHORIZED ACCESS OR DATA BREACH), ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

We disclaim liability for transport incidents, accidents, regulatory violations, tax penalties, platform suspensions, insurance claims, professional errors you make in reliance on software output, or any financial or operational losses arising from your fleet activities or your customers' use of your booking pages.

12. Indemnification

You agree to indemnify and hold Saaniya Software LLC and its affiliates harmless from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your fleet operations, passenger transport, customer relationships, data you store or process, cyber incidents attributable to your account or negligence, or your violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your account for violation of these Terms, abuse, or legal requirement. You may stop using the Service at any time. Upon termination, you may request export of your data subject to our Privacy Policy.

14. Changes

We may update these Terms from time to time. Material changes will be posted on this page. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-law principles. Disputes shall be resolved in courts located in Wisconsin, unless otherwise required by applicable law.
